Service Provider Agreement

Version 2026-11-02

This Service Provider Agreement ("Agreement") is entered into between Niche Leads, LLC, a Kentucky limited liability company doing business as Assembly Pros ("Company", "we", "us", "our"), and the independent service provider ("Provider", "you", "your") who accepts this Agreement through the Assembly Pros platform (the "Platform").

By accepting this Agreement, you acknowledge that you have read, understood, and agree to be bound by all of its terms. This Agreement governs your access to and use of the Platform as a Service Provider.

1. Relationship of the Parties

You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and the Company. You are solely responsible for how, when, and where you perform services. The Company does not supervise, direct, or control the manner or method of your work.

You are free to provide services through other platforms or directly to your own customers. You are not required to accept any particular booking offered through the Platform.

2. Platform Access and Onboarding

To use the Platform as a Service Provider, you must complete the onboarding process, which includes accepting this Agreement, providing proof of general liability insurance, confirming team screening practices, connecting a payment account, and selecting your coverage areas.

You must maintain current and accurate information in your account at all times. If any of your onboarding requirements lapse (such as expired insurance), your access to new bookings may be paused until the issue is resolved.

3. Services and Bookings

The Platform connects you with customers who need assembly, installation, and related services. When a booking is available in your coverage area, you may be offered the opportunity to accept it. Accepting a booking creates a direct service agreement between you and the customer.

You agree to perform all accepted services professionally, safely, and in accordance with any applicable laws and regulations. You agree to arrive within the confirmed arrival window and to communicate promptly with the customer if you are unable to do so.

4. Pricing and Fees

Service prices are set on the Platform. You may set minimum prices for services in your coverage areas, which influence the pricing shown to customers. The Company retains a platform fee (currently 10% of the pre-tax job value) on each completed booking. The platform fee is collected as an application fee on the payment processed through your connected Stripe account.

The Company may adjust the platform fee percentage with 30 days' written notice. If you do not agree to the new fee, you may terminate this Agreement before the effective date.

5. Payment

Payments from customers are processed through Stripe and deposited directly into your connected Stripe account, minus the platform fee. You are the merchant of record for all customer payments. You are responsible for handling refunds, chargebacks, and payment disputes related to your services.

Tips received through the Platform are deposited to your account in full (no platform fee on tips). You agree to pass all customer tips on to the team members who performed the work.

6. Insurance

You must maintain general liability insurance with a minimum coverage of $1,000,000 per occurrence and $1,000,000 general aggregate (or as otherwise specified by the Company). You must provide a current Certificate of Insurance (ACORD 25 or equivalent) listing the Company as an additional insured. You must notify the Company promptly if your insurance coverage lapses, is canceled, or materially changes.

You also acknowledge that your general liability insurance may require you to carry other types of insurance, such as commercial auto and workers' compensation. It is your responsibility to maintain all insurance required by your policy and by applicable law.

7. Team Screening

You confirm that all individuals who perform on-site services under your account are qualified to do so and that you have taken appropriate steps to evaluate their fitness for the work. You are solely responsible for the conduct of your team members.

8. Taxes

As an independent contractor, you are responsible for all federal, state, and local taxes on income you earn through the Platform. The Company does not withhold taxes from your payments. In states where sales tax applies to assembly and installation services, you are responsible for collecting and remitting sales tax as required by law. The Platform may assist with tax calculation and collection, but you remain ultimately responsible for compliance with applicable tax laws.

Where required by state law, you must maintain a valid sales tax permit and provide it to the Company. The Platform may restrict your access to bookings in states where you do not have a required permit.

9. Cancellations and No-Shows

If you need to cancel or release a booking, you must do so through the Platform. Repeated cancellations or no-shows may result in suspension or termination of your account. If you release a booking, the customer's deposit will be refunded and the booking will be offered to other providers.

10. Confidentiality

You agree not to use customer information obtained through the Platform for any purpose other than performing the services booked through the Platform. You may not solicit customers directly to circumvent the Platform.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, members, employees, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: your performance of services, your breach of this Agreement, your violation of any applicable law, any act or omission of your employees, agents, or subcontractors, or any claim by a customer related to services you performed.

12. Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages. The Company's total aggregate liability to you for all claims arising out of this Agreement shall not exceed the total platform fees retained by the Company from your bookings in the twelve (12) months preceding the claim.

13. Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice. The Company may immediately suspend or terminate your access to the Platform for violation of this Agreement or for conduct that the Company reasonably believes is harmful to customers, other providers, or the Platform.

Upon termination, you must complete any bookings already confirmed unless the Company agrees otherwise. Sections that by their nature should survive termination (including indemnification, limitation of liability, and confidentiality) will remain in effect.

14. Dispute Resolution

Any dispute arising from this Agreement shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in Casey County, Kentucky. Any legal action or proceeding that is not subject to arbitration shall be brought exclusively in the state or federal courts located in or serving Casey County, Kentucky. You agree to waive any right to a jury trial or to participate in a class action.

15. Modifications

The Company may modify this Agreement at any time by posting an updated version on the Platform. You will be notified of material changes and required to accept the updated Agreement to continue using the Platform. Your continued use of the Platform after being notified of changes constitutes acceptance.

16. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles.

17. Entire Agreement

This Agreement, together with any policies referenced herein, constitutes the entire agreement between you and the Company regarding your use of the Platform as a Service Provider, and supersedes all prior agreements, understandings, and communications.
